Shell plc announced in a statement on Monday that it will buy ARC Resources Ltd., a Canadian energy company, in a deal resulting in a total enterprise value of around $16.4 billion.
ARC shareholders are set to receive 32.80 Canadian dollars per share, a 20% premium to ARC's 30-day VWAP (Volume-Weighted Average Price). "This equates to an equity value of approximately $13.6 billion. Shell will take on approximately $2.8 billion in net debt and leases," the United Kingdom company explained.
Shell will fund the equity value through $3.4 billion in cash and $10.2 billion in its shares. The boards of both companies greenlighted the agreement, with the transaction expected to close in the second half of 2026.
