The ‘significant opportunity’ Talkspace will bring to UHS

 King of Prussia, Pa.-based Universal Health Services’ planned acquisition of Talkspace will create the industry’s first end-to-end continuum of behavioral health services, UHS CEO Marc Miller said during the system’s April 28 first-quarter earnings call.

“Talkspace’s successful payer-driven business model aligns well with our strategy to increase access to a full spectrum of outpatient services and diversify our behavioral payer mix,” he said. “Over the past 24 months, we focused significant resources to grow existing outpatient service locations adjacent to our hospital campuses and develop new freestanding outpatient clinic locations. We will continue to invest in these areas internally.” 

UHS reported an operating income of $502.9 million (11.2% operating margin) in the first quarter of 2026, up from $454.8 million (11.1% margin) in the first quarter of 2025. The system’s net revenue was $4.5 billion, and its total operating expenses were $4 billion. 

Talkspace’s network comprises 6,000 licensed professionals across all 50 states. The planned acquisition aims to expand UHS’ existing behavioral health footprint, which currently includes 346 inpatient behavioral health facilities.

Mr. Miller said the combined platform will span from lower-acuity outpatient and step-in services through residential and inpatient care, a market that UHS has operated in for more than four decades. 

“There is a significant opportunity for us to introduce Talkspace’s 6,000 clinicians into our environment to develop higher acuity virtual offerings, such as virtual intensive outpatient programs,” he said. “This will improve our ability to manage more patients stepping down from UHS facilities with a preferred virtual option.”

UHS expects the deal to be accretive to earnings within the first 12 months post-closing and increasingly accretive thereafter and its EBITDA multiple to fall into the single-digit range by year three post-closing. The system expanded its credit facility capacity by $900 million in late April to support the transaction.
